There has been renewed focus on, and
activity involving, the antitrust laws over the past several years. In
July, 2021, the Biden Administration issued an executive order highlighting its
commitment to aggressive enforcement of the antitrust laws, both the DOJ and FTC
are increasingly active and several major pieces of federal antitrust
legislation are pending. This three-hour program will provide a basic
background in the antitrust laws to newcomers to the field and a good refresher
for in house counsel and those who have some antitrust experience. The
program will cover both conduct and merger/acquisition topics. The conduct
topics will include what constitutes agreements under Section 1 of the Sherman
Act, Horizontal Restraints, Vertical Restraints and monopolization under Section
2 of the Sherman Act. The mergers and acquisition portion will focus on
Section 7 of the Clayton Act, discussing factors that are considered by the
agencies and courts in determining whether a proposed merger or acquisition is
viewed as anticompetitive. It also will address the pre-merger
notification requirements of the Hart Scott Rodino Act. Although the
program will focus primarily on federal law, the Minnesota Antitrust Act will be
addressed as well and an attorney with the Minnesota Attorney General’s office
will be one of the
speakers.
