"Cooperative Businesses and Minnesota Law"

Minnesota is the leading cooperative business state in the nation with over 1,000 cooperative businesses owned by more than 3.4 million residents of our state. This CLE workshop introduces you to the attributes that distinguish a cooperative business from other business entities. The purpose is to help attorneys understand what makes the cooperative legal structure unique and when it may be an appropriate entity choice.

This workshop will provide a comprehensive summary of basic information on the cooperative way of organizing and operating a business. Topics covered will include: the nature and extent of the use of cooperatives, a comparison of cooperatives to other business structures, an explanation of the roles various people play in a cooperative, and a discussion of equity accumulation and income taxation.

Dave Swanson, Dorsey & Whitney LLP
Dave Swanson is a partner in the Corporate practice group, chair of the Agribusiness, Rural Electric and Cooperatives practice group and co-chair of the Project Development and Finance practice group. For 25 years, he has focused on organizational issues, financing and transactions for energy project participants, agricultural and rural electric cooperatives, as well as cooperative financial institutions.

Bill Oemichen, President and CEO, Cooperative Network
Bill is a former cooperative and business law attorney for two different law firms  in the Twin Cities and serves as President & CEO of the 600 member cooperative trade association for Minnesota and Wisconsin.  Oemichen is former Deputy Minnesota Agriculture Commissioner and serves on the board of United Farm Credit Services, a $1.3 billion Farm Credit cooperative financial association headquartered in Willmar.  Oemichen also serves on a number of other for-profit, non-profit and governmental boards of directors, including service as vice chair and treasurer of a large hospital and clinic system board of directors that is a member of an Upper Midwest rural hospital cooperative.
