Directors of nonprofit
corporations, particularly tax-exempt charitable corporations, are individually accountable to
a range of regulatory authorities, in addition to the
corporation’s members. While state law typically protects directors from personal liability
for decisions made as directors, directors and their advisors should
be aware of their proper role and responsibilities as fiduciaries. This
session will use a case study to highlight the substantive law
in this area and discuss practical advice on issues that often arise with
nonprofit clients.
