Employers are
increasingly asserting claims against former employees for breach of their
common law duty of loyalty. This seminar will address questions including: What
is an employee’s duty of loyalty? What is the measure of damages for a breach?
Are injunctions a viable remedy? Is there a difference between fiduciary duty
and duty of loyalty? Can a third party be liable for aiding and abetting? Can
the claim be preempted by the Trade Secrets Act? What defenses can be asserted
to this claim? Is a breach of duty of loyalty a defense to claim for wages or
commissions?
