Minnesota’s recently-enacted
receivership statute is a comprehensive and potentially lower-cost alternative
to chapter 7 or chapter 11 bankruptcy proceedings. It includes many of the
value-maximizing mechanisms afforded by the bankruptcy code but implements them
in a way that affords maximum flexibility to the Court and, by extension, its
officer–the receiver. This presentation will cover the essential elements and
remedies of the Minnesota receivership statute, examine strengths and weaknesses
compared to bankruptcy proceedings, and highlight unforeseen consequences of the
statute that have arisen since its enactment primarily in the area of sales of
receivership property free and clear.
