Business Formation 101 – Choice of Entity, Necessary Documents, and the Role of Templates for Document Assembly

Business entities can be created by postcard. But most of the time, you and your clients are going to want to put some significant advance thought into some of the formation issues, and have more robust documentation. A typical operating agreement for either a board-managed or a member-managed LLC might entail several choices and run to a dozen or score of pages, for example.

Bryan Zlimen will share his insights about the choices and the process, based on his extensive practice in this area. He will also share some recent contributions he has made to add to the MSBA's mndocs collection of documents for members to use forming businesses for their clients, explaining the reasons behind some of the drafting, the advantages of using an interview process instead of cut-and-paste copying, and where you might consider further customizing the formation documents generated by the templates. Using templates makes the process more efficient, while also guarding against potential drafting mistakes.

Presenters:
Bryan Zlimen is a founding member of Zlimen & McGuiness, PLLC. His interest in business law comes naturally: before receiving his J.D. from William Mitchell College of Law in 2007, he was already a small business owner with over a decade's familiarity with the issues small businesses face. In his decade of experience since graduation, he has authored several articles on practical issues such as business practices, formation, and collection, and has presented on legal issues both locally and nationally. While in law school, he earned the Minnesota Justice Foundation Volunteer Service Award; and he continues to be committed to client satisfaction. His practice includes significant work on entity formation and buy-sell agreements.

Michael Trittipo is an attorney editor with the MSBA.  He earned his J.D. cum laude in 1981, and practiced law for several years.  He currently maintains the MSBA's mndocs templates using the HotDocs platform.
