Terminating the
employment of a minority shareholder in a closely-held company presents
different considerations than the termination of a typical employee; especially,
when the termination comes in the midst of a dispute over the control or
direction of the business. Employers must consider not only possible
claims by the shareholder/employee arising from the status as employee, but also
claims arising from the status as shareholder. Moreover, the lack of
documentation, or inadequate documentation, governing the relationship between
the shareholder/employee, the Company and/or other shareholders is often
highlighted in this scenario. This presentation will review issues unique
to shareholder employees, the legal processes available to resolve disputes
arising out the termination of a shareholder employee, and recommendations to
avoid disputes and costly litigation through proper documentation and corporate
governance.
