Business Law Section

The MSBA Business Law Section drafts, proposes, and reviews legislation such as improvements to the Business Corporation Act, the Uniform Partnership Act, the Limited Liability Companies Act, the Uniform Commercial Code, and the Non-profit Corporation Act. Committees monitor developments in their specific areas.

The section conducts an annual Business Law Institute in conjunction with Minnesota CLE, presents breakfast and lunch hour CLE programs, and offers pro bono opportunities for business attorneys in Minnesota.

LegalCORPS Needs Your Support

Dear MSBA Business Law Section Member:

As co-chairs of your Section’s Pro Bono Committee, we are proud of the Section’s commitment to promoting business law pro bono – ensuring that business law is part of the access to justice movement.

To further support that cause, we encourage you to include LegalCORPS in your 2014 year-end giving.   (Thursday, Nov. 13 – Give to the Max Day – will provide an excellent opportunity for that at the LegalCORPS page on

Backing LegalCORPS provides the Section the means to spread business law pro bono.  The Section provides some financial support for LegalCORPS (less than in the past), but it also needs your individual support.

LegalCORPS  provides free legal assistance to low-income entrepreneurs and small nonprofits throughout Minnesota – exclusively through the services of 500+ volunteer attorneys on its roster.  See its web site – – for details on its programs and how you could become a volunteer attorney yourself.  It is a small nonprofit that achieves a lot with just a little.  With a paid staff of less than 2 fulltime equivalents, LegalCORPS arranges assistance for 550-600 pro bono clients a year.

LegalCORPS now is embarking on an initiative to better serve immigrant, American Indian and other entrepreneurs of color. This video explains why.

On Give to the Max Day 2014 (November 13), law firms and LegalCORPS board members together have made pledges to a challenge fund to match – up to a total of $3,500 – individual donations to LegalCORPS made online at the LegalCORPS page on  Because of the challenge fund, your contribution to LegalCORPS will be doubled.

Furthermore, every hour on November 13, will pick a donor to a nonprofit at random and add $1,000 to his/her contribution.

You could further increase the impact of your support by making a recurring “sustaining” gift to LegalCORPS – an easy step on the LegalCORPS page on  Of course, checks mailed to LegalCORPS, 600 Nicollet Mall, Suite 380, Minneapolis, MN 55402 would work as well.

The Executive Council of the Business Law Section honored Mark Ritchie on December 10, 2014 for his service as Secretary of State, and for his participation and interest in the business community in Minnesota.  Secretary of State Ritchie has been a regular participant in the Business Law Section's Executive Council meetings and in its educational and outreach activities to Minnesota law students interested in business law.  The Executive Council has appreciated Secretary of State Ritchie's willingness to work with and listen to the business community on issues impacted by the Office of the Secretary of State.  Members of the Executive Council made donations to LifeSource in Secretary of State Ritchie's honor.
