Ethical Considerations for Attorneys Serving on Nonprofit Boards

Attorneys are often sought out to be Directors and Officers for nonprofit organizations because they bring special skills – superior reasoning, advanced schooling, special expertise, attention to detail, and (of course) the THOUGHT of free legal advice.  But, attorneys serving on nonprofit Boards can be fraught with ethical and practical pitfalls, and, like Marvel Comics, “with great power comes great responsibility.”

Jenn Urban will address common questions and issues, like:

-      Can serving on a Board of a nonprofit corporation get you on the ethical hot seat?
-      Who is your Client?
-      Conflicts of Interest and Fiduciary Duties
-      Confidentiality v. Disclosure
-      Excessive Compensation and Self-Dealing Concerns
-      When the Attorney Must Resign
-      Other Practical Considerations

This is a presentation of the Business Law Section’s Nonprofit Corporations Committee brown bag lunch series.  We will meet at the MSBA offices at Noon.  Bring your own lunch.  Water and soft drinks will be provided.
