The U.N. Convention of Contracts for the
International Sale of Goods: What You (and Your Clients) Need to Know about the
Federal Law of Contracts
On January 1, 1988, the UN CISG became the federal
law of contracts for the sale of goods in the U.S. Although businesses may
effectively opt out of the convention, in many instances, the CISG automatically
applies to transactions involving U.S. companies contracting with businesses in
79 other countries. The purpose of this presentation is to provide a brief
overview of key provisions of the CISG that differ from Article 2 of the
UCC. These include: writing requirements, use of parole evidence, the
battle of the forms, disclaiming warranties and remedies for breach of
contract.
